Terms of Use

OpenTag is a multiplayer AI coworker. You configure agents, role packs, approvals, channels, memory, schedules, and connections in the portal. The coworker then works in Slack, and on any other surface we enable, using the models and tools you allow.

These Terms cover the hosted Service only. Self-hosted deployments are not the Service. We do not process data for an instance you run unless you send that data to us. Published source is governed by its repository license, not these Terms.

We may change or remove features, models, integrations, plan limits, and interfaces. Experimental or flagged features may change or stop without notice.

Portal sign-in uses an email magic link or a password you set. Keep that inbox and password under your control. You are responsible for activity under your account. The Service is for organizations and people 18 or older.

Owners and admins control members, agents, policies, connections, memory, schedules, and billing. Slack users in a connected workspace may use the coworker without a portal account. You are responsible for who you invite, which channels and credentials the coworker can use, the approval level you set, and writes it makes under those rules. If you connect a system you do not administer, you represent you have permission to do so.

Slack is the primary surface. Installing or authorizing the OpenTag Slack app lets us receive events, read the thread context needed to do the job, post replies and approval prompts, and use the bot permissions Slack grants. Uninstalling the app or removing the coworker stops new work there. Existing OpenTag logs, jobs, and memory remain until you delete them or the workspace.

Slack is a product of Slack Technologies, LLC, a Salesforce company. OpenTag is not created by, affiliated with, endorsed by, or sponsored by Slack. Slack's terms also apply. Other surfaces (for example Microsoft Teams) are part of the Service only when we enable them and you connect them.

You retain your rights in configuration, prompts, instructions, memory, files, Slack messages, tool results, and other material you submit or that we process for you ("Customer Content").

You grant us a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Content to provide, secure, troubleshoot, and operate the Service, and to comply with law. That includes sending relevant prompts, messages, tool results, and instructions to the model providers you use, through Vercel and the AI Gateway. We may use de-identified usage metrics to operate the Service. We do not sell Customer Content and do not use it to train OpenTag-owned models.

You represent you have the rights and notices required to submit Customer Content, including personal data in Slack or connected tools. See our Privacy Policy. If we process personal data for you as a processor, a data processing addendum is available on request.

The coworker uses third-party models you select through the Vercel AI SDK and AI Gateway. Output can be wrong, incomplete, outdated, or biased. It is not professional advice. Review it before you rely on it.

Approval levels control whether the coworker may write without a human Allow. They do not make output correct and do not remove prompt-injection risk. Do not give the coworker rooms or credentials where an unwanted write is unacceptable. Model providers and Vercel process content under their own terms, which may include retention or abuse monitoring.

You may connect Slack, GitHub, Linear, Sentry, Chargebee, Stripe, custom MCP servers, public web fetch, and other tools we support. We use the tokens and grants you provide to call those systems on your behalf. You must comply with each provider's terms. Those products are not OpenTag. We are not responsible for their downtime, API changes, data handling, or fees.

You may not use the Service to:

• violate law or anyone's rights;
• abuse or exceed rate limits on OpenTag or connected APIs;
• send unsolicited or deceptive messages (autonomous customer messaging is not the product);
• bypass approval, kill-switch, authentication, or other controls;
• interfere with the Service or access another customer's workspace;
• resell or scrape the Service, or use it to build a competing hosted coworker except as the open source license allows;
• submit malware or content you lack the right to process.

You may not use the Service if you are on a U.S. sanctions list or located in a comprehensively sanctioned jurisdiction. We may investigate, disable agents or connections, or suspend a workspace if we reasonably believe these rules were broken.

Hosted plans are on the pricing page. Free is one Slack channel. Team is unlimited channels. Both are $0 today. Team's listed price is $9 per month and is waived for now. We may change OpenTag fees, limits, or features. If we start charging for a plan you already use, we will give notice in the product or by email first. Keep using the Service after that, and you accept the change. Otherwise stop, or self-host.

Model usage has two paths. If you add your own Vercel AI Gateway key, you pay provider list rates on your Vercel bill and we add no markup. If you use our key, the same list rates apply plus a 10% handling fee (payment and platform costs, not a Vercel surcharge), sold as prepaid credits. You are responsible for usage caused by people who can talk to the coworker. Connected tools may charge you separately.

If a paid OpenTag plan is enabled, it renews each billing period until you cancel, and we (or Stripe) may charge the payment method on file. Taxes may apply. Fees are non-refundable except where law requires or checkout says otherwise. When you use your own key, model-provider charges are billed by Vercel, not by us.

We and our licensors own the Service, our name, and our marks, other than Customer Content and third-party or open source components. These Terms do not transfer that ownership. Do not copy or reverse engineer the hosted Service except as law or the published source license allows. Feedback may be used without restriction.

We use reasonable measures to protect the Service and Customer Content. No system is perfectly secure. You protect portal access, Slack admin rights, and secrets you store.

Non-public information received from the other party may be used only to perform under these Terms and must be protected with reasonable care, except information that is public, independently developed, or required to be disclosed by law.

These Terms last until you stop using the Service or we terminate them. You may uninstall the Slack app and ask an owner to delete the workspace at any time. We may suspend or terminate immediately for breach, to protect the Service or other customers, or if we discontinue the hosted Service.

On termination your right to use the Service ends. Fees already incurred remain due. We may delete Customer Content after a reasonable period, subject to legal holds and backups. Sections that by nature should survive (including content representations, acceptable use, IP, confidentiality, disclaimers, liability, and indemnity) survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the coworker will take the action you intended, that output is accurate, or that approvals and tool scopes will catch every unwanted write.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE HOSTED SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). Model-provider and other third-party charges you incur are not amounts paid to us.

These limits do not apply to your payment obligations, your indemnity, your breach of Section 7 or 9, or either party's fraud or willful misconduct, or to liability that cannot be limited by law.

You will defend and indemnify us against claims, damages, and reasonable legal fees arising from Customer Content, your use of the Service (including coworker actions taken with your credentials and policies), your integrations, or your breach of these Terms, except to the extent caused by our willful misconduct.

We will defend and indemnify you against third-party claims that the hosted Service, as provided by us, infringes that third-party's IP, except claims arising from Customer Content, your combinations or modifications, or use outside these Terms. If such a claim is brought, we may modify the Service, obtain a license, or terminate the affected portion and refund prepaid unused OpenTag fees for that portion.

We may update these Terms on this page and change the "Last updated" date. For a material change we will also give notice in the product or by email when reasonably possible. Continued use after the effective date is acceptance. If you do not agree, stop using the Service.

These Terms are the entire agreement for the hosted Service. Our Privacy Policy covers personal data. If they conflict, these Terms control use of the Service and the Privacy Policy controls personal data.

If a provision is unenforceable, the rest stays in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent. We may assign them in a merger, acquisition, or sale of the Service. No third-party beneficiaries. No partnership, employment, or fiduciary relationship.

The laws of the State of Wyoming, excluding conflict-of-law rules, govern these Terms. Exclusive venue is the state and federal courts located in Wyoming, and each party consents to that venue.
